Deal adds a new private equity partner alongside existing investors Onex Partners and Ares, signaling a continued focus on growth in tax services and technology.

Global tax services and software provider Ryan, LLC announced it has secured a significant minority equity investment from Neuberger Berman Capital Solutions. The transaction, announced Jan. 14, will see Neuberger join existing long-term partners Onex Partners and Ares Private Equity Funds as key shareholders in the Plano, Texas-based firm.

The company’s leadership structure will remain unchanged, with founder, Chairman and CEO G. Brint Ryan continuing to lead the existing management team and oversee all operations. Financial terms of the deal were not disclosed.

In a statement, G. Brint Ryan said the partnership will help the company enter its "next phase of growth." He added, "Together with Neuberger, Onex Partners and Ares, we are well positioned to expand our reach, deliver even greater value to clients, and unlock the next chapter of our global growth."

The investment points to a broader interest in the tax services sector, which is navigating increasing regulatory complexity and technological disruption. David Lyon, Head of Neuberger Berman Capital Solutions, noted that Ryan operates at the "intersection of tax expertise, technology, and client service." He stated, "We believe the Company is exceptionally well positioned to benefit from long-term secular trends in tax regulation, compliance and digital transformation."

Ryan's existing private equity partners expressed support for the new arrangement. Amir Motamedi, Managing Director of Onex Partners, welcomed Neuberger as a "strategic capital partner," while Matt Cwiertnia, Head of Ares Private Equity, noted the firm was "excited to continue our valued partnership."

The transaction is expected to be completed in the first half of 2026, pending regulatory approvals and other customary closing conditions.

BofA Securities and J.P. Morgan Securities LLC served as financial advisors to Ryan, with Kirkland & Ellis LLP as legal advisor. Neuberger was advised by RBC Capital Markets and Goldman Sachs & Co. LLC as financial advisors and Latham & Watkins LLP as legal advisor.
