Deal aims to strengthen IBM Consulting’s capabilities in SAP S/4HANA transformations, particularly within regulated industries, by adding specialized services and a portfolio of AI-powered software assets.

IBM has announced a definitive agreement to acquire Cognitus, a Dallas-based SAP S/4HANA services provider. The move is intended to enhance IBM Consulting’s expertise in SAP transformations and add a suite of proprietary software solutions to its portfolio. Financial terms of the deal were not disclosed.

The acquisition brings Cognitus’s team, which has over two decades of experience in SAP implementations and application maintenance, into the IBM fold. More specifically, the deal provides IBM with specialized skills in RISE and GROW with SAP, two of the German software giant’s key cloud ERP offerings.

A central component of the acquisition is Cognitus’s portfolio of AI-enabled software assets, which aligns with a broader industry trend of consulting firms adopting an asset-based delivery model. These assets include tools for government contracting, contract lifecycle management, data migration, and real-time billing. The focus of these tools on complex and regulated sectors like Aerospace and Defense, Energy and Utilities, and Manufacturing appears to be a key driver for the acquisition, giving IBM deeper functional expertise in these verticals.

"Clients are turning to trusted partners that know their industries inside and out and can deploy AI-powered solutions to their enterprise operations," said Neil Dhar, Managing Partner for IBM Consulting Americas. He added that Cognitus’s technology and industry expertise will improve the efficiency of SAP implementations and extend the functionality of IBM's existing SAP portfolio.

For Cognitus, which was founded in 2002, the acquisition offers access to IBM’s global scale and advanced technology capabilities. "Becoming part of IBM enables Cognitus to amplify what we do best – accelerating SAP transformation through innovation," said Pat Sathi, CEO of Cognitus.

This transaction represents IBM's ongoing investment in building out its capabilities around major technology partners, including SAP, AWS, Microsoft, and Oracle. The acquisition is subject to customary closing conditions and regulatory approvals.
